User / Consumer Agreement and "User/Consumer DazhPay Terms"

By joining as a consumer, you agree to this Agreement (“DazhPay Terms”) and applies to your use of the Services to make payments and conduct credit transfer from DazhPay Accounts into other DazhPay Accounts using any of the DazhPay payment methods. You must read, agree with and accept all of the terms & conditions contained in the DazhPay Terms. By using DazhPay, you acknowledge that you have agreed to these DazhPay Terms.

We may amend, delete or add to these DazhPay Terms at any time by posting a revised version on our website. A Change will be made unilaterally by us and you will be deemed to have accepted the Change after you have received notice of it. We will provide you with 25 days’ prior notice of the Change by posting notice on the "Policy Updates" page of our website. If you would like to receive notification by email of new Policy Updates then you may do so by changing your notification preferences in your Account Profile. The Change will take effect once the notice period expires, except it shall take place immediately if the Change relates to the addition of a new service, extra functionality or any other change which we believe in our reasonable opinion neither reduces your rights nor increases your responsibilities. In such instances, the Change will be made without prior notice to you and shall be effective immediately. Once a change takes effect, your continued use of DazhPay shall be deemed acceptance of this Change. If you do not agree with any Change, you may terminate your use of DazhPay and terminate the DazhPay Account at any time.

1. Product Description.

DazhPay is a Point of Sales system that allows you directly order your items on your own and to make payments from credits /’funds’ in your e-wallet as well as credit cards and debit cards ("Cards"). You may top up your e-wallet using real cash, via bank transfer or PayPal/credit card in exchange for credits or ‘funds’. DazhPay can only be used to accept the type of Cards that are displayed during the DazhPay check out and transaction execution step, and this list of payment methods or cards could change at any time and without notice.

In addition to agreeing to these DazhPay Terms, you will be required to provide certain personal and business information in order for you to register for DazhPay. You must apply to create a "Consumer" account and be approved by AWG to use DazhPay.

2. The Application and Approval Process.

The application and approval processes will usually be carried out through the DazhPay website. However, in some circumstances, we may need to carry out a manual verification of application and approval process. Your use of the DazhPay is dependent on your acceptance of the end user license agreement associated with the DazhPay, your obtaining a DazhPay account, your holding a valid DazhPay account and your approval by AWG. We will determine at our sole discretion whether you will be approved to use DazhPay. Your approval will also be relevant to a specific country or jurisdiction, and your use of DazhPay shall be limited to processing transactions in that country or jurisdiction. If your application DazhPay account from us was declined, contact the Customer Care team on +65 9366 1406 for instructions on how to get you on board. By signing up, you allow us to send communication messages necessary for the normal use of products and services and special products and services on promotion.

3. Authorised Users.

You must not pass your password to other eligible users to use DazhPay.

4. Using DazhPay.

You execute transaction using the DazhPay built in web application by signing with your user ID and password. Review your order or actions before any transaction. In doing so, you authorized payment to be deducted from your account for the product and services you ordered or fund transfer to another account. You may incur cost for any wrong or cancelled transactions created by you and any loss arising out of it.

You will receive an electronic receipt via email or SMS, rather than a paper receipt. You may print out the receipt at a later time by accessing online your account.

You may set a limit to activate the 2-Factor Authorization on your transaction. A second password will be sent to your registered email or mobile phone via SMS. A small fee of less than 5 Singapore cents will apply for SMS.

You agree that you shall not provide any false or misleading descriptions of any transaction that you submit through DazhPay.

We reserve the right to place a cap on the total value of a DazhPay Transaction(s) that can be processed using DazhPay website.

You may make payments in the currency of the country in which you created the account to pay for items sold in other currency. Exchange rate and small commission lower than or comparable to bank charges will apply.

DazhPay is designed to be simple, easy and affordable to use. SSL and encryption are used to increase security and protect your data. However, as we are not liable for all losses arises out of the use of DazhPay, we encourage you to limit your top up value in your account based on your level of risk you intend to take. In addition, you can set limit on your transaction to activate 2-Factor authorizations for higher security.

DazhPay will normally be available at any time. However, we do not warrant that the DazhPay service will be free of interruptions, delays or errors. From time to time, we need to perform upgrades and maintenance to our service or DazhPay which may result in it not being available for a period. We will try to give you notice of any planned maintenance, but you acknowledge and agree that there may be circumstances where this is not possible.

5. Third Party Services.

Your use of DazhPay may rely on third-party services (such as those of a mobile network operator, a broadband internet provider, an internet security provider or a wireless (WiFi) network provider). These third parties may charge you fees for accessing DazhPay (e.g. for service access or data use) and it is your sole responsibility to pay such fees. We cannot accept any responsibility for the operation or security of such services, for your inability to use DazhPay as a result of their service or for your breach of the terms of your contract with that third party as a result of using DazhPay.

6. Fees.

It is free to sign up an account.

You may incur fee for:

7. Privacy Policy.

This applies to your use of DazhPay. The protection of your information is important to AWG. We will not sell your information others. Only DazhPay will be able to send email or SMS messages you.

8. Reverse Transaction and other Protective Actions.

If we believe there may be a high level of risk associated with your DazhPay Account, we may take certain actions in connection with your Account and/or your use of the DazhPay Services.

These are as follows:

Reverse Transaction: We may, in our sole discretion, execute fund transfer from funds held in your DazhPay Account when we believe there is a wrongful transfer of fund into your account by mistakes or there may be a high level of risk associated with your DazhPay Account. If your DazhPay Account is subject to a reverse transfer, we will provide you with notice specifying the terms of the reverse transfer.

Suspending your DazhPay Account. We may take other reasonable actions we determine are necessary to suspend your account when fraud and suspicious illegal money laundering activities are detected. If we reasonably believe that you have breached the terms of your AWG Agreements, we may take action to restrict your use of the DazhPay service.

9. Consumer’s Protection Program.

DazhPay transactions are designed to be easy and simple to use and hence, fees are very low. We will take appropriate action to allow credible merchants to come on board DazhPay but will not be liable for all or any kinds of losses arising from the use of DazhPay and your transaction with the merchant. However, we will make effort to resolve any disputes you might have.

Your value in DazhPay e-Wallet are protected and secured with bank trustee account. Your money in DazhPay account is not being used for other investment purpose. In the event of cessation of DazhPay service, you will be able to claim your balance based on the latest value recorded in the database.

10. License Grant.

AWG grants you a revocable, non-exclusive, non- transferable license to use DazhPay software in accordance with this agreement. This license grant includes the software and all updates, upgrades, new versions and replacement software for your personal use only. If you do not comply with our implementation and use requirements you will be liable for all resulting damages suffered by you, us and third parties. You acknowledge that all rights, title and interest to DazhPay software are owned by us. Any third party software application you use on the DazhPay website is subject to the license you agreed to with the third party that provides you with this software. We do not own, control nor have any responsibility or liability for any third party software application you elect to use on the DazhPay website and/or in connection with the AWG Services.

11. Acceptable Use.

You should use our services within the jurisdictions allowed in the country where the services are consumed. As a reminder, you may not engage in any illegal activities.

12. Data Security.

General. You are fully responsible for the security of data in your possession or control as a result of using DazhPay. You agree to comply with all applicable laws and rules in connection with data you obtained while using DazhPay.

Data Usage. Unless order by legal court, your data is not shared to anyone without first obtaining your express consent. All Data and other information provided to you by AWG in relationship to the DazhPay service will remain the property of AWG.

Password Security. You agree to restrict use and access to your password and log-on ID to yourself. You will not give, transfer, assign, sell, resell or otherwise dispose of the information and materials provided to you to utilize the DazhPay services. You are solely responsible for maintaining adequate security and control of any and all IDs, passwords, or any other codes that are issued to you by us..

Audit. If AWG believes that a security breach or compromise of Data has occurred, AWG may require you to have a third party auditor that is approved by AWG conduct a security audit of your systems and facilities and issue a report to be provided to AWG, the Acquiring Banks and the Card Companies. In the event that you fail to initiate an audit within 10 Business Days of AWG's request, AWG may conduct or obtain such an audit at your expense.

13. AWG Use of Data.

We will use your information in accordance with our Privacy Policy. We will not disclose or sell your information to others. Your sensitive data are encrypted.

14. Refund Policy and Terminating DazhPay Consumer Account.

One credit in e-wallet is equivalent to one Singapore dollar.

Refund

You may request for fund / credits in your e-wallet to be withdrawn, converted into equivalent legal cash and be transferred to your bank account, handed over via bank cheque or hard cash

Termination

You may terminate the use of DazhPay anytime. We reserve the right to keep all transaction data done by you for future auditing or investigating purpose.

A fee of $2.50 or 5% will be charged on the remaining value, whichever is higher, in your account. You may use up all your credit to avoid such charge.

15. Notice.

We will provide you with notices regarding DazhPay in accordance with the provisions of the User Agreement or by sending you a message through the DazhPay App. Such notice will be considered to be received by you within 24 hours of the time it is posted or emailed to you.

16. Indemnity, Disclaimers & Liability

Your value in DazhPay e-Wallet are protected by the applicable law in the country of use and secured. In the event of cessation of DazhPay service, you will be able to claim your balance based on the latest value recorded in the database.

You agree to indemnify and hold us harmless from claims that are raised against us that result from your use of DazhPay or your DazhPay Account. In other words, we will not be liable for any losses arises out of use of DazhPay services.

DAZHPAY AND ITS RELATED AGENTS DOES NOT WARRANT THAT THE SERVICES WILL BE FAULT-FREE, THAT THE SERVICES WILL BE AVAILABLE CONTINUOUSLY OR THAT ALL THE MOBILE OPERATORS WILL BE REACHABLE AT ALL TIMES. FURTHERMORE, AWG MAKES NO WARRANTIES, REPRESENTATIONS OR OTHER UNDERTAKINGS IN CONNECTION WITH THE MOBILE OPERATORS OR THE PROVISION OF SERVICES AS CONTEMPLATED HEREIN, AND DISCLAIMS ALL TERMS NOT EXPRESSLY CONTAINED HEREIN, WHETHER WRITTEN OR ORAL, CONTRACTUAL, EXPRESS OR IMPLIED, OR OTHERWISE INCLUDING WITHOUT LIMITATION ANY WARRANTIES AS TO MERCHANTABILITY, QUALITY (INCLUDING ANY WARRANTIES AS TO LATENCY AND THROUGHPUT), FITNESS FOR A PARTICULAR PURPOSE OR USE, TITLE AND NON-INFRINGEMENT.

DAZHPAY cannot guarantee that the Services will not be faulty, and will take reasonable commercial efforts to correct reported faults and restore the Services as soon as practicable.

17. Definitions.

"Account Profile" means the account profile settings that can be accessed within your DazhPay Account.

"Change" has the meaning given in the introductory paragraphs of these DazhPay Terms.

"DazhPay App" means the DazhPay software application for merchants.

"DazhPay Transaction" means a transaction using a AWG-issued access method such as the AWG payment card or a transaction via your DazhPay Account.

"User/ Consumer Agreement" means the online agreement you entered into with AWG when you opened your DazhPay Account, as it may have been amended from time to time. The current version, entitled "User Agreement for AWG Services", can be accessed via the Legal Agreements link in the footer of nearly every page on the DazhPay website.

"Warranty" means the warranty offered to you by AWG relating to the DazhPay and being independent of the manufacturer's warranty.



"Merchant DazhPay Terms & Conditions"

1. Merchant DazhPay Terms & Conditions

A. Product Description.

DazhPay is a payment solution for businesses, which allows you to make or receive payments using credits in e-wallet as well as credit cards and debit cards ("Cards"). DazhPay can only be used to accept the type of Cards that are displayed during the DazhPay check out and transaction execution step, and this list of payment methods or cards could change at any time and without notice. All critical transactions will be logged for audit trail.

In addition to agreeing to these DazhPay Terms, you will be required to provide certain personal and business information in order for you to register as a merchant in DazhPay. You must have a Business Account in good standing and be approved by AWG to use DazhPay.

B. E-wallet Top Up method by Consumer

Consumers may top up their consumer (user) e-wallet account in the following manner

B.1. Cash via merchant store

Consumer will hand cash (e.g. $50) to merchant. Merchant transfer from its merchant e-wallet account to user e-wallet account associated with consumer’s email address, user name and unique identity number (UIN). Merchant may or may not charge consumer for the top up service. If merchant chooses to charge a fee, it shall not be more than $0.50.

B.2. Top Up Via Credit Card

Consumers will top up into their e-wallet accounts using credit card facilities. In this case, credit card company will impose its usual charges.

B.3. Peer to Peer Fund Transfer

Consumer may transfer fund in e-wallets to each other. Transfer fee of $0.20 may be charged by DazhPay.

B.4. Manual Top up via bank transfer

Consumer will transfer fee from his bank account, stating DazhPay user name or email address, to bank account of AWG designated bank. As this process is not automated, staff of AWG will periodically check its bank account for top up and conduct a manual transfer of fund into the e-wallet of consumers. This form of top up is free. As this is a manual process, consumer is encouraged to inform AWG via telephone or email for faster update, where telephone being the fastest.

B.5. Integrated Automated Bank Top up

Not available. To be implemented. Consumer will top up using bank account and get instant update of credit into its e-wallet account.

C. Refund Policy and Fund Withdrawal Fee

C.1. Refund Policy and Fund withdrawal fee

One credit in e-wallet is equivalent to one Singapore dollar. You may request for fund / credits in your e-wallet to be withdrawn, converted into equivalent legal cash and be transferred to your bank account, via bank cheque or hard cash. Administration fees will be applied as shown in the table below. DazhPay administration will initiate transfer within 1-15 working days. All fund transfer are subjected to accumulated maximum daily limit per day imposed by bank on account linked to DazhPay and restriction imposed by monetary regulations of local authority in which DazhPay operate. DazhPay finance administration will initiate transfer within 1-15 working days.

Name and ID of receiver must be made known and authorized if registered merchant send a representative on his/her behalf.

Fund transfer amount above the limits stated above may be arranged and cost to be borne by merchant / requesting party.

E. Authorised Administrators.

You may authorise administrators/users to access to your DazhPay Account for managing your stores. You will accept the risk of losses that your authorised users will have the ability to perform any action that you are given and they will be able to transfer funds from your DazhPay Account to others.

It is your responsibility to ensure that your authorised users comply with these DazhPay Terms in connection with their use of the DazhPay. We may have to perform screening in compliance with anti-money laundering or other legislation. In order to assist us in this screening, you agree to provide us with legitimate and accurate information regarding the identity of all authorised users as requested by us. We reserve the right to deny any authorised user access to DazhPay at any time. You agree that you are at all times liable for the actions or omissions of your authorised users and that you will indemnify and hold us harmless from the actions or inactions of your authorised user in connection with their use or misuse of the DazhPay service.

F. Using DazhPay.

Consumers may top up by passing you cash. You can "Transfer fund" from any e-wallet to the consumers’ e-wallet account. Consumers will visit your online stores and made payment via e-wallet, credit card facilities or cash.

You must also provide customers with a receipt if they request one. Customers will receive an electronic receipt via email or SMS rather than a paper receipt.

You may transfer e-wallet credits to anyone you desired.

You agree that you shall not provide any false or misleading descriptions of any transaction that you submit through DazhPay and that the descriptions given within itemised transactions shall be an accurate and true description of the goods and services being purchased. You also agree to comply with any instructions provided to you by AWG.

We reserve the right to place a cap on the total value of a DazhPay Transaction(s) that can be processed using the DazhPay App. At the time of this print, the cap is set at SG$10, 000.

DazhPay will normally allow you to receive payments only in the currency of the country in which you reside.

DazhPay will normally be available at any time. However, we do not warrant that the DazhPay service will be free of interruptions, delays or errors. From time to time, we need to perform upgrades and maintenance to our service or DazhPay which may result in it not being available for a period. We will try to give you notice of any planned maintenance, but you acknowledge and agree that there may be circumstances where this is not possible.

However, wrongful transaction may occur and reserve the right to reverse the wrongful transaction after notifying you of the error.

G. Activating applications and features and fees

The features or applications such as store queue system, product re-ordering alert, inventory management, loyalty, bulk discount, featured product or store advertisement, shipping management, product discount, bulk updating features and many more to come are optional. Some of these features are free for your use for a limited period of time.

You may activate any of these options and will be informed of the fee if charges applies. Your continued used or activation of these features signify that you agree to the charges.

H. Cross border E-wallet.

This feature is not available at the time of print of this DazhPay terms. E-wallet from one country may be used in another. The system will convert base on standard exchange rate and additional exchange conversion fee similar to that charged by banks will applied. We strive to offer better rate.

I. Mobile Compatibility.

Using the DazhPay service requires you to have a compatible mobile device. We do not warrant that DazhPay will be compatible with your mobile device. If you have a compatible mobile device but this has been modified contrary to the manufacturer’s software or hardware guidelines, then you may not use your modified device to use DazhPay.

J. Third Party Services.

Your use of DazhPay may rely on third-party services (such as those of a mobile network operator, a broadband internet provider, an internet security provider or a wireless (WiFi) network provider). These third parties may charge you fees for accessing DazhPay (e.g. for service access or data use) and it is your sole responsibility to pay such fees. We cannot accept any responsibility for the operation or security of such services, for your inability to use DazhPay as a result of their service or for your breach of the terms of your contract with that third party as a result of using DazhPay.

K. Privacy Policy.

The AWG Privacy Policy applies to your use of DazhPay. The protection of personal information is important to us. Likewise, information you receive from us about your customers must be kept confidential, stored securely and only used for purposes related to DazhPay. As a reminder, information you receive may not be used to send unsolicited email or SMS messages to a user without that user’s express consent. You shall not pass consumer information to anyone without consumers’ or users’ consent. You shall take precaution not to accidentally leak or allow to be leaked the personal information of consumers.

L. Reserves and other Protective Actions.

If we believe there may be a high level of risk associated with your DazhPay Account, we may take certain actions in connection with your Account and/or your use of the DazhPay Services.

These are as follows:

Reserves. We may, in our sole discretion, place a Reserve on funds held in your DazhPay Account when we believe there may be a high level of risk associated with your DazhPay Account. In relation to the DazhPay service, this may include (without limitation) an unusual level of customer refunds, chargebacks or Keyed Transactions. If your DazhPay Account is subject to a Reserve, we will provide you with notice specifying the terms of the Reserve. We may change the terms of the Reserve at any time by providing you with notice of the new terms. The terms may require that a certain percentage of the amounts received into your Account are held for a certain period of time, or that a certain amount of money is held in Reserve, or anything else that we determines is necessary to protect against the risk associated with your DazhPay Account. If we place a Reserve on funds in your DazhPay Account, they will be shown as "pending" in your DazhPay Balance.

Additional Actions. We may take other reasonable actions we determine are necessary to protect against the risk associated with your DazhPay Account including requesting additional collateral from you such as a letter of credit or a personal guarantee or limiting the functionality of your DazhPay Card Reader. We may contact your customers, on your behalf, in the event that we are investigating potential fraud.

Information. In order to determine the risk associated with your DazhPay Account, we may request at any time, and you agree to provide promptly any information about your business, operations or financial condition. We reserve the right to reassess your eligibility for any Product if your business is materially different from the information you provided in your application.

M. License Grant.

If you are using AWG software such as an API, developer’s toolkit or other software application that you have downloaded to your computer, device, or other platform, then AWG grants you a revocable, non-exclusive, non- transferable license to use DazhPay software in accordance with the documentation. This license grant includes the software and all updates, upgrades, new versions and replacement software for your personal use only. You may not rent, lease or otherwise transfer your rights in the software to a third party. You must comply with the implementation and use requirements contained in all AWG documentation accompanying the DazhPay Services. If you do not comply with our implementation and use requirements you will be liable for all resulting damages suffered by you, us and third parties. You agree not to alter, reproduce, adapt, distribute, display, publish, reverse engineer, translate, disassemble, decompile or otherwise attempt to create any source code which is derived from the software. You acknowledge that all rights, title and interest to dazhPay software are owned by us. Any third party software application you use on the DazhPay website is subject to the license you agreed to with the third party that provides you with this software. We do not own, control nor have any responsibility or liability for any third party software application you elect to use on the DazhPay website and/or in connection with the AWG Services. If you are using the AWG Services on the DazhPay website, or other website or platform hosted by us, or a third party, and are not downloading DazhPay software or using third party software applications on the AWG website, then this section does not apply to your use of the hosted AWG Services.

N. Acceptable Use.

As a reminder, you may not accept payments in violation of the AWG Acceptable Use which include suspicious money laundering activity. You shall report any top up values of above $4000 to AWG by any consumer or any multiple purchases executed within a day by the same consumer exceeding $4000.

O. Data Security.

General. You are fully responsible for the security of data in your possession or control as a result of using DazhPay. You agree to comply with all applicable laws and rules in connection with your collection, security and dissemination of any personal, financial, Card, or transaction information (defined as "Data").

Data Usage. Unless you receive the express consent of your customer, you may not retain, track, monitor, store or otherwise use Data beyond the scope of the specific transaction. Further, unless you get the express consent of AWG, you agree that you will not use nor disclose the Card Data for any purpose other than to support payment for your goods and services. Card Data must be completely removed from your systems, and any other place where you store Card Data, within 24 hours after you receive an authorization decision unless you have received the express consent of your customer to retain the Card Data for the sole purpose of processing recurring payments. To the extent that Card Data resides on your systems and other storage locations, it should do so only for the express purpose of processing your transactions. All Data and other information provided to you by AWG in relationship to the DazhPay service and all Card Data will remain the property of AWG, its Acquiring Bank or the Card Companies, as appropriate.

Password Security. You agree to restrict use and access to your password and log-on ID to your employees and agents as may be reasonably necessary, and will ensure that each such employee or agent complies with these DazhPay Terms. You will not give, transfer, assign, sell, resell or otherwise dispose of the information and materials provided to you to utilize the DazhPay services. You are solely responsible for maintaining adequate security and control of any and all IDs, passwords, or any other codes that are issued to you by us, each Acquiring Bank or the Card Companies.

Audit. If AWG believes that a security breach or compromise of Data has occurred, AWG may require you to have a third party auditor that is approved by AWG conduct a security audit of your systems and facilities and issue a report to be provided to AWG, the Acquiring Banks and the Card Companies. In the event that you fail to initiate an audit within 10 Business Days of AWG's request, AWG may conduct or obtain such an audit at your expense.

P. DazhPay Use of Data.

We will use your information in accordance with our Privacy Policy. For the avoidance of doubt, you authorise us to provide information regarding your business and individual transactions to third parties for the purpose of facilitating the acceptance and settlement of your transactions and in connection with other relevant actions, including reverse transaction, refunds, disputes, adjustments and other enquiries.

Q. Notice.

We will provide you with notices regarding DazhPay in accordance with the provisions of the AWG User Agreement or by sending you a message through the DazhPay message inbox. Such notice will be considered to be received by you within 24 hours of the time it is posted or emailed to you.

R. Indemnity.
